Vista Gold Corp. believes strong corporate governance practices are critical to successfully build shareholder value. Senior management, led by the Chief Executive Officer, is responsible for running the operations of the Company and informing the Board of Directors of the status of operations. The Board of Directors is elected by the shareholders to monitor management’s performance. The primary function of the Board of Directors is, therefore, oversite–defining and enforcing the standards of accountability that enable the CEO and senior management to execute their responsibilities fully and in the interests of the Company’s shareholders.
